Conflict of interest of the Advisor

Ethos Private Equity manages a number of funds and in doing so, potential conflicts of interests may arise between Ethos Funds, between the Ethos Funds and Ethos Private Equity and/or between Limited Partners in the Ethos Funds (including Ethos Capital). Ethos Private Equity aims to adhere to the highest global standards of governance.

Ethos Private Equity manages a number of funds and in doing so, potential conflicts of interests may arise between Ethos Funds, between the Ethos Funds and Ethos Private Equity and/or between Limited Partners in the Ethos Funds (including Ethos Capital). Ethos Private Equity aims to adhere to the highest global standards of governance.

To deal with potential conflicts of interests, Ethos Capital has established a Conflicts Committee. The representation on this committee may change over time, but will include the following:

The Conflicts Committee will meet on an ad hoc basis to deal with any potential conflicts of interest that arise. The objective of the Conflicts Committee will to be to establish the outcome that most fairly treats the affected parties taking into account the facts of the relevant conflict.

At the date of the Listing, the Chairperson of the Conflicts Committee will be Peter Mageza.
